DUTY OF THE TRUSTEES

A trustee owes a duty of honesty, integrity, loyalty and good faith to the beneficiaries of the Trust. A trustee must at all times act exclusively in the best interests of the Trust, and be actively involved in any decisions that need to be taken.

 

The principal statute that governs South African trust law is the Trust Property Control Act 57 of 1988 (TPCA). The duties of trustees are subject to the provisions of the TPCA, common law and the trust deed. As with a company director, a trustee has a fiduciary duty to act “with the care, diligence and skill which can reasonably be expected of a person who manages the affairs of another“.

 

Trustees act together for and on behalf of the trust and its assets in the best interests of all the beneficiaries. This is, of course, in line with the provisions of the trust deed and the TPCA. For this reason, trustees should fully comprehend the contents of the trust deed, which would usually specify the powers of the trustees and the intent for the management of the trust and its assets. Proper record keeping of inventory and managerial accounts is paramount. Trustees must open a bank account in the name of the Trust and keep statutory accounting records of all transactions.

Phakama Nhassengo

Independent Trustee

 

Phakama Nhassengo serves on the PHT board as both an independent trustee and its deputy chairperson. He holds a BCom from the University of KwaZulu-Natal.

 

Phakama is the founder of Vascowiz Group (Pty) Ltd, a company that offers urban regeneration, property management, property development and facilities management. He is passionate about poverty alleviation. He also serves in the nature conservation industry, in particular ERP (Elephants Rhino People). Phakama is family-orientated, and the father of four beautiful children.

 

 

 

 

Wyna Modisapodi

Chairperson

 

Wyna Modisapodi was recently nominated as chairperson of the Peace Humansrus Trust. She has been serving on the board since August 2017, and sits on the board’s audit and risk committee. Wyna is an admitted attorney and founder of Modisapodi Consulting, which provides legal, compliance, regulatory and governance and advisory services to clients across various sectors.

 

Wyna’s professional achievements include lobbying the South African parliament on the proposed amendments to the current Companies Act of 2008, enhancing her corporate governance skills and knowledge. She also serves on other boards of companies as an independent, non-executive director, and an independent trustee of a pension fund and medical aid scheme, thereby exposing herself to corporate governance best practices. A fun fact about Wyna is that books and weightlifting are her routes to calmness. Her favourite reads centre on Pan-African literature, with historical fiction being her favourite genre. Fred Khumalo and Zakes Mda are her favourite local historical fiction authors.

Blum Khan

Independent Trustee

 

Blum Khan Serves on the PHT as an independent trustee, and is also the chairperson of the Trust’s audit and risk committee. Blum serves as country director of Marie Stopes South Africa. He studied at the University of Cape Town and qualified as a chartered accountant. He has extensive experience in the health sector.

 

A very talented and experienced global senior executive, with a proven track record of repositioning and building healthcare businesses in South Africa, Blum has had career experience in various industries and sectors including oil and gas, financial services, healthcare funding and administration, as well as property development in South Africa, Namibia and Australia. He currently serves on various company boards, including Communicare and Entilini Concession and Operations. He is actively involved in non-profit organisations and community development projects. He is currently a member of the Council of the University of the Western Cape (UWC). Based in Cape Town, Blum also loves to work on community-building activities and enjoys travelling and motorcycling.

 

 

 

Janet du Preez

Independent Trustee

 

Janet du Preez is a development consultant based in South Africa. She is a social worker by profession, with over 43 years’ experience in social work and social development, combining legislation and policy development and implementation, capacity building, project and programme management and organisational development. She holds a masters’ degree in public policy and development management from the University of the Witwatersrand Business School.

 

Janet is currently a Senior Associate of Maestral International and a member of the management team. She has good facilitation, team and capacity building and communication skills. She is able to network both within government, between spheres of government, and with other service providers such as non-governmental organisations, donor organisations and the corporate sector. She also serves on several trusts representing the interests of different communities and groups.

 

 

 

Masego Mogotsi

Project Company Trustee

 

Masego Mogotsi has been a part of the Peace Humansrus Trust Board since 2015. She is currently employed as the economic development manager of Jasper Power Company. Her role involves developing and implementing the company’s socio-economic and enterprise development strategy. Masego currently resides in Johannesburg and enjoys a good run in the mornings.

Fritz Steenkamp

Community Trustee

 

Fritz Steenkamp has served as a community trustee on PHT since October 2016. Fritz currently resides in Danielskuil. He is a teacher by profession, with an honours degree in education (management and finance), and an honours degree in theology and public management.

 

Fritz is currently employed as principal of Kuilsville High School. He is also an ordained pastor in the Apostolic Faith Mission of South Africa, in Danielskuil. He is married with three children.

Dumisani Mpafa

Independent Trustee

 

Dumisani Mpafa is the founder and CEO of Beever Agency, a specialist Broad-Based Black Economic Empowerment (B-BBEE) verification and consulting firm, with offices in Johannesburg and East London. He has been in the BEE verification and consulting field since 2005, and is the chairperson of the Association for BEE Professionals (ABP), the only industry and professional body for BEE consultants and verification professionals.

 

Dumisani is also the founder of GreenDex, a specialist consulting firm in the sustainable development field, assisting clients in a range of services, including Green Star Rating, energy audits and carbon footprinting. He holds an MBA, and has a passion for business start-ups and economic transformation. He has developed key competencies over the years, including formulation, corporate governance, risk management, energy management, auditing, knowledge facilitation, mentorship and coaching, quality management systems, B-BBEE verification and consulting, among others.

 

Dumisani serves as an independent trustee in various community trusts in the REIPPP space on behalf of DBSA and other Boards such as the Tsogo Sun Emonti (which operates in Hemingways Casino, East London). He is also the current chairperson of the Black Business Council (BBC) Economic Transformation Committee and a former deputy president of the Black Management Forum (BMF).

 

 

Oarabile Barnard

Community Trustee

 

Mr Barnard started his career in Education, also as Regional Secretary of the SADTU; in Community, he was chairperson of the greater Postmasburg Development Forum and assisted Boichoko Development Association as a Project Manager by implementing a few community projects such as Pre-School, Resource Centre, Pensioners Food Garden Project and developed business plans and successfully secured grant funding for the Community-Based Organisation (CBO). As a leader in the community, I was also elected as a Councillor for Tsantsabane local municipality (1995-2000) and chairperson of Exco.

 

He worked as a municipal manager (2001-2009) and has experience in executive leadership management. He obtained a master's degree in public administration and was appointed Senior Manager of the provincial Department of Cooperative Governance, Human Settlements & Traditional Affairs (COGHSTA). He occupied the position of District Director for 11 years and retired early in March 2021. He is currently self-employed and holds directorship positions as a shareholder in a few businesses.
